Provider: Rochester Silent Disco LLC ("RSDC," "we," "us," or "our")These terms govern use of the RSDC Agentic OS, including its connection to QuickBooks Online and its related business-workflow features (the "App"). By accessing or using the App, you agree to these terms.1. Purpose of the AppThe App is an internal business tool used by Rochester Silent Disco LLC to assist with rental inquiries, contracts, customer records, unsent invoice creation, payment tracking, and related operational workflows. The App may connect to third-party services such as QuickBooks Online, Gmail, and HubSpot.2. Limited licenseSubject to these terms, RSDC grants authorized users a limited, revocable, non-exclusive, non-transferable license to use the App solely for legitimate RSDC business operations. No ownership rights are transferred.3. Authorized useYou may use the App only if you are authorized by RSDC and have authority to access any connected account or company data. You agree not to:- access the App or connected data without authorization;
- attempt to bypass security controls;
- use the App for unlawful, fraudulent, or misleading activity;
- copy, resell, sublicense, or commercially distribute the App; or
- interfere with the App, its connected services, or other users.4. Review of generated recordsThe App assists with preparing business records but does not replace human review. Authorized users are responsible for verifying customer information, event details, pricing, taxes, due dates, payment settings, contracts, and invoices before relying on or sending them.The QuickBooks workflow is designed to save invoices without emailing them automatically. An authorized user must review and send an invoice manually when appropriate.5. Connected servicesUse of QuickBooks Online, Gmail, HubSpot, and other connected services remains subject to the separate terms and privacy policies of their providers. RSDC does not control the availability or operation of those services. QuickBooks and Intuit are trademarks of Intuit Inc.; the App is independently operated by Rochester Silent Disco LLC and is not endorsed by Intuit.6. PrivacyOur collection and use of information through the App are described in the RSDC Agentic OS Privacy Policy. By using the App, you acknowledge that connected business data will be processed as necessary to perform authorized workflows.7. Security and account responsibilityUsers must protect account credentials and promptly report suspected unauthorized access. RSDC may suspend access when needed to protect the App, connected accounts, customers, or business records.8. Availability and changesThe App is provided on an "as available" basis. We may change, suspend, or discontinue features, including integrations, when reasonably necessary for security, maintenance, legal compliance, or business operations.9. DisclaimerTo the extent permitted by law, the App is provided without warranties of uninterrupted availability, error-free operation, or fitness for a particular purpose. The App does not provide legal, tax, or accounting advice. Users should consult qualified professionals when appropriate.10. Limitation of liabilityTo the extent permitted by law, RSDC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of or inability to use the App or a connected third-party service.11. TerminationRSDC may revoke access for violation of these terms, security concerns, loss of authorization, or discontinuation of the App. Users may stop using the App and disconnect its QuickBooks authorization at any time.12. Governing lawThese terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.13. Changes to these termsWe may update these terms periodically. The App is an internal business tool operated by Rochester Silent Disco LLC.1. Information the App processesDepending on the workflow used, the App may process:- customer names, email addresses, telephone numbers, and billing or event addresses;
- event dates, rental quantities, prices, invoice dates, due dates, taxes, balances, payment settings, and transaction identifiers;
- QuickBooks company identifiers, customer records, product or service records, invoices, and limited company information needed to complete the requested workflow;
- inquiry details received through RSDC's website or business email;
- identifiers and status information associated with related Gmail drafts or HubSpot records; and
- limited operational and audit information used to prevent duplicate records, confirm workflow results, maintain security, and troubleshoot errors.The App also stores OAuth authorization tokens and related connection information needed to maintain the authorized QuickBooks connection. It does not request or store a user's QuickBooks password.2. How information is obtainedInformation may be provided by an authorized RSDC user, received through an RSDC customer inquiry, or retrieved from a connected service after an authorized account administrator grants access.3. How information is usedWe use information only as needed to:- authenticate and maintain authorized service connections;
- locate or create QuickBooks customer records;
- locate the correct RSDC product or service;
- prepare and save QuickBooks invoices;
- calculate or request applicable sales-tax treatment;
- prevent accidental duplicate invoices;
- prepare related contracts, HubSpot records, and Gmail drafts;
- support payment and accounting workflows;
- protect the App and connected accounts; and
- diagnose errors and maintain reliable operation.The App's QuickBooks workflow is designed to save invoices without emailing them automatically. An authorized user reviews and sends an invoice manually.4. Sharing and disclosureWe do not sell connected QuickBooks data, provide it to data brokers, or use it for targeted advertising.Information may be disclosed:- to Intuit/QuickBooks, Google/Gmail, HubSpot, and other connected service providers as necessary to perform an authorized workflow;
- to RSDC personnel or contractors who need access for legitimate business, accounting, security, or technical-support purposes;
- when required by law, legal process, or a valid governmental request; or
- when reasonably necessary to protect customers, RSDC, the App, connected accounts, or legal rights.Each connected service processes information under its own terms and privacy policy.5. Storage, retention, and deletionThe App does not maintain a separate full copy of the connected QuickBooks accounting database. Connection tokens and limited operational information are stored in an access-controlled business system for as long as needed to operate the authorized connection, maintain security, troubleshoot the workflow, and meet legitimate business or legal obligations.Customer, invoice, payment, contract, email, and CRM records created through the workflow remain in their applicable business systems and may be retained as required for accounting, tax, contractual, dispute-resolution, or other legal purposes.An authorized QuickBooks administrator may disconnect the App through QuickBooks. RSDC may also delete local connection tokens and operational information when the connection is terminated and the information is no longer reasonably needed. Requests concerning personal information may be submitted using the contact information below. Some records may be retained when required or permitted by law.6. SecurityWe use reasonable administrative and technical safeguards designed to protect information, including access controls, HTTPS connections to service providers, restricted local storage of credentials and tokens, and audit output designed to exclude passwords and secret credentials. No method of storage or transmission can be guaranteed completely secure.7. Data choices and account controlsAuthorized users can stop future QuickBooks access by disconnecting the App from the QuickBooks account. Customers may contact RSDC to ask about access, correction, or deletion of their personal information, subject to identity verification and any accounting, tax, contractual, or legal retention requirements.8. Children's privacyThe App is a business operations tool and is not directed to children under 13. We do not knowingly use the App to collect personal information directly from children under 13.9. Changes to this policyWe may update this Privacy Policy to reflect changes in the App, our practices, or applicable requirements. The effective date above identifies the latest version.10.
